Before we begin
This is the agreement between you and LIFED.
We have tried to write it the way we intend to work with you: plainly, in both directions, with the numbers stated rather than buried. Where something is a commitment we are making to you, we have written it as a commitment, not as a hope. Where something is a limit, we have said so rather than hiding it in a definition.
LIFED is operated by Holobiont Private Limited, CIN U86900KL2025PTC093335, registered at Room No. 432/10, Shoranur Govt. Press P.O, Kulappulli, Ottapalam, Palakkad – 679122, Kerala.
In this document “we” and “LIFED” mean that company. “You” means you, whether you are an individual practitioner, a centre, a community or an organiser. We call you a Healthmate. We call the people who book your programs seekers.
This agreement is a contract under the Indian Contract Act, 1872. It starts when you accept these terms and we approve your registration.
Your methods, curriculum, name and practice remain entirely yours.
We advise. You decide, including seasonal and peak-period pricing.
20% residential and 25% session-based, deducted at settlement.
Our curation, support and commercial commitments continue after listing.
This agreement works alongside the Cancellation and Refund Policy , the Payment and Settlement Terms, Privacy Policy and any Annexures that apply to you.
Our partnership
1.1 You are an independent business, not an employee. Nothing in this agreement makes you an employee, worker or franchisee of LIFED. You are not our vendor or supplier either. The legal relationship is between two independent businesses.
1.2 You keep creative control. We do not tell you how to teach, practise, what methods to use, what hours to keep, or how to run your space or team.
Co-creation shapes how a program is structured and described so the right seekers find it. It does not reach into your craft.
1.3 You are the one delivering the program. Your contract for the program itself is with the seeker. Our role is discovery, curation support, booking, payment collection, settlement and support when something goes wrong.
1.4 What LIFED commits to you
- Co-creation and curation support for every program, at no charge.
- A dashboard showing every booking, commission, settled payout and upcoming payout, with the arithmetic visible.
- Discovery and fit-based routing. Placement is never sold.
- Secure payment collection and transparent, tiered terms.
- A named LIFED contact you can reach for operational support.
- Honest communication, including advance notice before changes affecting your economics.
- If a program is not converting, we work with you to rework it.
- Aggregate, privacy-respecting outcome trends as before-and-after measurement rolls out.
1.5 What we ask of you
- Deliver each program as curated, to a high standard.
- Keep availability and program details accurate.
- Make honest, non-clinical claims.
- Care for participant safety and experience.
- Uphold the curation standard.
- Respond promptly to seekers and bookings.
1.6 No exclusivity. You remain free to run your own channels, take direct bookings and list elsewhere. Clause 6.9 contains the only narrow restriction.
Joining, and how a program gets built
2.1 Registration. You submit your credentials and details. We verify every Healthmate.
2.2 What we will ask you for
- Identity or business registration.
- Relevant qualifications, certifications or licences.
- Venue details, facilities, capacity and photographs.
- Program objective, structure, schedule, inclusions and proposed price.
- Bank account or UPI payout details.
- Where relevant, insurance, safety provisions, food licences and regulatory permits.
2.3 Validation is normally completed within two working days after complete documents are received.
Approval remains at LIFED's discretion. If we cannot approve you, we will tell you why and what would change the answer.
2.4 Once approved, you receive your Healthmate dashboard.
2.5 You build your first program with our team. You remain the expert throughout.
2.6 The curation team validates the program against the LIFED standard before publication.
2.7 Where a program does not yet meet the standard, we refine it together and tell you specifically what needs to change.
2.8 Once validated, the program is published and bookable, typically within a week after co-creation starts.
2.9 Tell us within 7 days if a relevant licence, registration, insurance or qualification lapses, is suspended or is refused renewal.
Relevant criminal, professional disciplinary or safety-related regulatory proceedings must also be disclosed promptly.
2.10 Regulated modalities including Ayurveda, naturopathy, therapeutic bodywork and ingestible preparations are subject to Annexure B.
2.11 Programs involving people under 18 are subject to the Child Safety Annexure and cannot go live until those requirements are completed.
Your price, and our commission
3.1 You set the price. We advise on the market. The final decision is yours.
3.2 Your price must be all-in for everything described as included on the program page.
Optional extras must be identified and separately priced.
3.3 Prices may be changed at any time for future bookings without our permission.
3.4 Different dates, seasons, room types or slots may carry different prices.
3.5 Confirmed bookings remain locked at the price accepted by the seeker.
3.6 You may not demand a surcharge from a confirmed seeker or cancel in order to relist at a higher price.
3.7 The only pricing limits
- Where the price would materially mislead a seeker relative to what is described.
- During a declared disaster, emergency or public-health event affecting your location, where the stated emergency cap applies.
- Where a specific rate was agreed with a corporate or institutional partner.

3.9 Commission is deducted at settlement. GST on the commission is charged in addition at the applicable rate and appears on the tax invoice issued to you.
3.10 What you actually receive
A five-session sound and breath series priced at ₹13,999:

These examples illustrate the mechanics. Your actual dashboard shows the exact calculation for each booking.
3.11 Commission is always based on what the seeker actually paid.
3.12 If you discount your program, commission applies to the discounted price. LIFED-funded promotions do not reduce your expected net settlement unless you explicitly opt in.
3.13 There is no listing fee, subscription, co-creation charge, curation fee or marketing fee.
3.14 Commission rates may change on 60 days' written notice. Existing confirmed bookings settle at the old rate.
3.15 Any special commercial rate recorded in Annexure A overrides the standard rate for the stated period.
Payment and settlement
4.1 LIFED collects the full guest price through our regulated payment partner as your limited collection agent for that booking.
4.2 Funds sit with the payment partner's escrow or nodal account. They are not LIFED working capital.
4.3 Settlement eligibility
A booking becomes eligible once:
- the program or delivered session is completed;
- its cancellation window has closed;
- no dispute, chargeback, safety investigation or grievance remains open;
- KYC and payout details are current and verified.
4.4 Advance release
Some qualifying bookings may receive part of the Healthmate's net amount before completion, usually after confirmed guest arrival.
Whether an advance applies and its proportion are determined internally by LIFED and shown in your dashboard and Annexure A where applicable.
An advance is a facility rather than an entitlement. Future availability may be changed or withdrawn on 30 days' notice.
Advances against bookings later refunded or cancelled may be recovered from future settlements.
The weekly cut-off is Sunday at 23:59 IST. Eligible earnings up to that cut-off are paid within 7 days to your registered bank account or UPI.
Your dashboard shows the bookings included, commission, deductions, net payout, expected payment date and the reason for any hold.
4.7 What may be deducted or held
- seeker refunds;
- Healthmate cancellation charges;
- chargebacks and reversals for which you are responsible;
- remedies you agreed to pay;
- recoverable advance payments;
- statutory deductions;
- amounts properly owed under this agreement;
- amounts under an active investigation.
4.8 Investigation holds are normally limited to 30 days unless an external legal, chargeback or safety process genuinely requires longer.
4.9 Where an amount is held for more than 45 days and the concern is not substantiated, it is released with interest at 12% per annum for the period of the hold.
4.10 Undisputed money will not be withheld because a separate matter is under dispute.
4.11 A chargeback is not passed to you where our investigation confirms you delivered the program as described.
4.12 Tax, plainly
- GST on LIFED commission is charged at the applicable rate.
- TCS under Section 52 of the CGST Act is collected and reported where applicable.
- Section 9(5) treatment may apply to qualifying accommodation supplied by non-registered suppliers.
- TDS under Section 194-O of the Income-tax Act, 1961 is deducted where applicable.
- Healthmates remain responsible for their own registration, returns and tax compliance.
- Changes in tax-registration status must be reported to LIFED within 7 days.
4.13 Indian Healthmates are settled in INR.
4.14 Keep payout information current.
4.15 A minimum settlement threshold of ₹1,000 applies. Smaller balances roll into the next cycle, while account closure always triggers payment of the full remaining balance.
Program quality and the curation standard
5.1 Curation is part of what gives seekers confidence to book a Healthmate they may not already know.
5.2 Every live program must have a clear objective, sound structure, honest non-clinical language and genuine fit.
5.3 Programs must not claim to diagnose, treat, cure, prevent, rehabilitate or manage a medical or mental-health condition.
Restricted clinical claim language must not be used on the program page, at the venue or directly with a seeker.
5.4 Deliver each program substantially as curated.
5.5 Keep capacity, room inventory, slots and blackout dates current.
5.6 Maintain appropriate venue safety, equipment, first aid, emergency protocols, food handling and required permissions.
5.7 Review participant health declarations and adapt or decline activities where participation would not be safe.
5.8 Where quality falls below the required standard, LIFED will normally work with you to correct it before stronger measures are taken.
5.9 Except for immediate-action matters, written notice and an opportunity to respond or remedy the concern are provided before pausing or unlisting.
5.10 Safety, fraud, legal and child-protection issues may require immediate action.
5.11 Underperformance is treated differently from a standards issue: we work with you to rework the program.
Working with seekers
6.1 Acknowledge bookings and seeker messages within 24 hours on working days.
6.2 Treat seekers professionally and respectfully. Harassment, discrimination, intimidation and unwanted contact are prohibited.
6.3 Obtain specific consent before hands-on adjustments or bodywork. Consent may be withdrawn at any moment.
6.4 Do not photograph or film participants without prior consent.
6.5 Each program's chosen cancellation tier binds both you and the seeker.
6.6 Healthmate cancellations may result in full seeker refunds, settlement deductions, calendar blocking and reduced visibility in accordance with the Cancellation and Refund Policy.
Three qualifying cancellations in twelve months trigger a review for suspension.
6.7 Injuries, medical emergencies, safety incidents, misconduct allegations and police involvement must be reported within 24 hours, and immediately where serious.
6.8 Healthmates providing accommodation to foreign nationals must comply with applicable Form C and tourism-registration requirements.
Where a seeker was introduced to you through LIFED, do not solicit or accept payment for that program outside the platform, or offer a lower off-platform price for the same program, for six months from the introduction.
This does not prevent you from serving existing clients, operating your own booking channels, listing on other platforms or pricing your independent business as you choose.
Intellectual property
7.1 Your name, brand, methods, curriculum, manuals, recordings, techniques and pre-existing material remain entirely yours.
7.2 You grant LIFED a worldwide, non-exclusive, royalty-free licence to use your name, logo, program descriptions, photographs and videos to list and promote your programs and the platform.
7.3 The LIFED platform, LIFED and LEWIS marks, curation framework, matching approach, dashboard, templates and LIFED-created materials remain ours.
7.4 LIFED owns the published program-page structure, copy and design created by our team, while you receive a perpetual royalty-free licence to reuse that copy for your own promotion.
Your underlying method and expertise remain yours.
7.5 LIFED may use de-identified, aggregated program and outcome information for matching, research and insight purposes.
Commercially sensitive Healthmate performance data is not published in attributable form without consent.
7.6 Published seeker reviews may be quoted accurately and in context.
7.7 You warrant that material supplied by you may lawfully be used and does not infringe another person's rights.
Data, privacy, ratings and reviews
8.1 Your pricing, booking volumes, settlements and dashboard analytics are treated as confidential commercial information.
8.2 A Healthmate receives only information needed to host a seeker safely: name, booking, dates or slots, dietary and accessibility needs, emergency contact and health declaration.
8.3 Healthmates never receive a seeker's LEWIS responses, insight reports, wellbeing trend or bookings with other Healthmates.
8.4 Seeker information may be used only to deliver the booked program and meet legal obligations. It may not be used for independent marketing without separate direct consent.
Data must generally be deleted within 12 months after delivery unless law requires longer retention.
8.5 Health declarations are confidential and must be securely stored with access restricted to people who need them for safety.
8.6 Healthmates have their own responsibilities under applicable data-protection law.
8.7 A loss, exposure or unauthorised access involving seeker data must be reported to LIFED within 24 hours after becoming aware of it.
8.8 Verified reviews come only from people who attended. Paid, fabricated and incentivised reviews are not published.
Reviews are not removed merely because a Healthmate dislikes them.
8.9 You may respond publicly once to a review.
8.10 Reviews may be flagged for checking against the review standard. Where they meet it, they remain published.
Ending the partnership
9.1 Either party may terminate on 30 days' notice. LIFED may terminate immediately for qualifying safety, fraud, legal or child-protection matters.
9.2 Confirmed seeker bookings remain the priority and are honoured where safe and practical.
9.3 Every eligible settlement remains payable after termination on the normal cycle.
9.4 Listings are removed within 7 days after the last honoured booking.
9.5 Seeker data must be deleted according to Section 8 and applicable law.
9.6 Intellectual-property, data, dispute, indemnity and confidentiality provisions that are intended to survive termination continue to apply.
9.7 A Healthmate may apply to return later unless the earlier exit involved a safety, fraud or child-protection reason.
If we disagree
10.1 Settlement queries must be raised through the dashboard within 30 days after the settlement statement.
LIFED acknowledges within 3 working days and aims to resolve them within 15 working days.
10.2 Conduct and standards disputes follow the notice and appeal process described in Section 5.
10.3 Where a seeker complains about a Healthmate, both sides are investigated and the Healthmate is given an opportunity to respond.
10.4 Internal escalation runs through the named LIFED contacts stated in your agreement and applicable Annexures.
10.5 If internal escalation does not resolve the matter, both parties attempt a good-faith discussion for 30 days.
10.6 Failing settlement, disputes go to arbitration before a sole arbitrator under the Arbitration and Conciliation Act, 1996.
Seat and venue: Kochi.
Language: English.
10.7 For disputes worth ₹5,00,000 or less, either party may instead use the courts at Kochi. Where LIFED starts arbitration, LIFED pays the arbitrator's fee.
10.8 Either party may approach the courts at Kochi for urgent interim relief.
Sign-off
Governing law. This agreement is governed by the laws of India, including the Indian Contract Act, 1872.
Jurisdiction. The courts at Kochi have exclusive jurisdiction for matters not going to arbitration and for interim relief.
Changes. We may amend the agreement on 30 days' notice, or 60 days for a commission change under Clause 3.14.
Confirmed bookings remain governed by the terms applying when they were confirmed.
The whole agreement
This document, its Annexures, the Cancellation and Refund Policy, Payment and Settlement Terms and Privacy Policy together form the agreement.

Definitions
Healthmate: you, whether an individual practitioner, centre, community or organiser.
Seeker: a person who books and attends a program.
Program: a residential stay or session-based workshop or series listed on LIFED.
Residential: accommodation and meals included, with the seeker staying with you.
Session-based: local sessions or workshops with no stay.
Guest price: the all-in price the seeker pays.
LEWIS: LIFED's optional, non-clinical wellbeing reflection feature.

By accepting these terms and listing a program on LIFED, you confirm that you have authority to enter into this agreement, that the information provided is accurate, that you hold the qualifications, licences and permits required for your practice, and that you agree to these terms.
